These Terms of Use (“Terms”) govern your access to and use of the Neurovus mobile application, website, AI assistant (“NAVI”), and related services (“Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use Neurovus.

1. ABOUT NEUROVUS

Neurovus is a general wellness and self-awareness platform that provides:

  • biometric pattern comparisons (non-clinical)
  • general educational content
  • journaling and reflection prompts
  • adaptive wellness nudges (max 1 additional per day)
  • information on how some users find wellness professionals

Neurovus is NOT:

  • medical care
  • mental-health treatment
  • a diagnostic tool
  • a crisis-detection system
  • an emotional assessment platform
  • a substitute for professional help
  • a monitoring or supervision tool

NAVI uses short-term biometric and interaction patterns to personalize timing of prompts. NAVI does not detect emotions, stress levels, deterioration, mental states, or safety risks.

2. ELIGIBILITY

You must be 18 years or older to use Neurovus.
By using the Services, you represent and warrant that:

  • you are legally able to enter into these Terms
  • you are not using Neurovus for clinical, diagnostic, or emergency purposes
  • you will use the Services in accordance with all applicable laws

3. USER RESPONSIBILITIES

By using Neurovus, you agree:

A. You are solely responsible for your decisions.

All data, insights, nudges, and conversations are informational only, and you assume full responsibility for how you interpret or act on them.

B. You must NOT rely on Neurovus for safety-critical decisions.

Neurovus does not detect emergencies, decline, or mental-health status.

C. You must secure your login credentials and device.

You are responsible for all activity under your account.

D. You will not misuse or misrepresent the nature of the platform.

Neurovus may not be used to:

  • diagnose yourself or others
  • monitor others
  • assess mental or emotional state
  • provide therapeutic or professional services

4. NO MEDICAL OR MENTAL-HEALTH SERVICES

Neurovus is not regulated as a medical device and does not provide medical, psychological, psychiatric, or therapeutic advice.

You acknowledge and agree:

  • NAVI does not detect or infer emotional states
  • NAVI does not assess stress, distress, or crisis risk
  • NAVI does not evaluate mental health
  • NAVI does not monitor user wellbeing
  • NAVI does not intervene in emergencies

If you need medical or mental-health advice, contact a licensed professional.

If you are in danger or experiencing a crisis, call emergency services immediately.

5. INFORMATION AND DATA PRACTICES

Your use of the Services is governed by the Neurovus Privacy Policy, which describes:

  • the categories of data collected
  • how data is used
  • the rolling-window retention model (60–120 days)
  • no export/no portability
  • user deletion rights

By using the Services, you acknowledge that:

  • we retain biometric pattern data for up to 120 days
  • we retain behavioral interaction data for up to 90 days
  • we retain conversational pattern data (not content) for 60–90 days
  • older data is automatically and permanently deleted
  • we do not store long-term behavioral, emotional, or biometric history
  • we do not offer data export due to privacy and re-identification risk
  • NAVI uses statistical and structural patterns ONLY
  • NAVI does not evaluate mood, emotion, stress, or mental health

6. LIMITED LICENSE TO USE THE APP

We grant you a personal, revocable, non-exclusive, non-transferable license to use Neurovus solely for non-commercial wellness purposes.

You agree not to:

  • reverse engineer
  • scrape, extract, or replicate algorithms
  • misuse nudging or pattern models
  • attempt to access other users’ data
  • use data for clinical, research, or diagnostic interpretation without written permission

7. PROHIBITED USES

You may not use Neurovus to:

  • diagnose or treat any physical or mental condition
  • evaluate risk, stress, or emotional state
  • analyze another person without consent
  • conduct research that requires IRB approval without obtaining it separately
  • monitor others for safety, supervision, or crisis
  • bypass security measures
  • harvest or extract data beyond allowed functionality

Neurovus may suspend or terminate access for any user engaged in prohibited use.

8. THIRD-PARTY INTEGRATIONS

Neurovus may connect to third-party wearable platforms (e.g., Apple Health, WHOOP, Garmin, Oura).
These services are governed by their own privacy policies and are not controlled by Neurovus.

You authorize us to receive wellness data from integrated devices for non-clinical pattern comparison only.

9. NO GUARANTEES OR WARRANTIES

The Services are provided “AS IS” and “AS AVAILABLE”, without any warranties of any kind.

We do NOT guarantee that:

  • NAVI will always nudge correctly, consistently, or at all
  • biometric patterns will be accurate or complete
  • any insights will apply to your personal situation
  • interactions will improve wellness or reduce lag time
  • data will never be lost, corrupted, or delayed

All nudges, insights, and interactions are experimental, educational, and informational.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

A. Neurovus is not liable for:

  • decisions you make based on any insight or nudge
  • misinterpretation of data or patterns
  • delays, missed nudges, or failure to prompt
  • emotional reactions to app content
  • reliance on NAVI during distress
  • hardware or wearable malfunction
  • unauthorized access due to your actions

B. Maximum Liability

Our total liability to you for all claims combined is limited to the lesser of:

  • $100, or
  • the amount you paid to use the Services in the prior 12 months

This limit applies to all claims, including negligence.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Neurovus against any claims, damages, losses, or liabilities arising from:

  • your use or misuse of the Services
  • your interpretation of biometric or behavioral data
  • your reliance on any nudge, suggestion, or educational content
  • any violation of these Terms
  • your sharing of any wellness-related insights with others

12. TERMINATION

We may suspend or terminate your access at any time for:

  • violation of these Terms
  • misuse of the platform
  • security risk
  • unlawful behavior
  • external requirements (e.g., regulatory order)

You may terminate at any time by deleting your account and requesting data deletion.

13. MODIFICATIONS TO THE SERVICE

We may modify or discontinue portions of the Services without notice.
We may update these Terms at any time. When material changes occur, we will notify you and update the “Effective Date.”

14. GOVERNING LAW

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of laws principles.

Any disputes shall be resolved in the courts located in [Insert County/State].

15. SEVERABILITY

If any part of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
